1. OVERVIEW

These Terms of Service ("Agreement") are entered into between Jonida Ripani, located at Ulivi 19, Is Molas, Pula (CA), Italy ("Company," "we," "us," or "our"), and you ("you," "your," "User," or "customer"). This Agreement takes effect when you use our website https://www.jonidaripani.com ("Site") or electronically accept these terms.

This Agreement governs your use of the Site and any products or services purchased or accessed through it ("Services"). By browsing the Site, using the Services, or accepting this Agreement, you confirm that you have read, understood, and agree to be bound by these terms, as well as our Privacy Policy.

We may modify this Agreement or related policies at our discretion, with changes effective immediately upon posting to the Site. Your continued use of the Site or Services after such updates constitutes acceptance of the revised terms. If you do not agree with this Agreement, please do not use or continue using the Site or Services.

2. ELIGIBILITY

The Site and Services are available only to individuals or entities capable of forming legally binding contracts under applicable law, including Italian and, where relevant, European Union (EU) regulations. By using the Site or Services, you represent and warrant that:

You are legally able to enter into binding contracts;

If you accept this Agreement on behalf of a company or entity, you confirm you have the authority to bind that entity to these terms. If we determine you lack such authority, you will be personally liable for obligations under this Agreement.

3. RULES OF USER CONDUCT

By using the Site, you agree to comply with this Agreement and all applicable local, national, and international laws, rules, and regulations. You further agree not to use the Site in any manner that:

Is illegal or promotes illegal activity;
Encourages or engages in child exploitation, terrorism, violence against people, animals, or property;

Unauthorized Access: Any attempt to interfere with the Site’s systems (e.g., bypassing security, altering data, or using unauthorized tools) may result in order cancellation and legal action under applicable laws, such as Italian Penal Code Articles 615-ter ("Unauthorized Access") and 617 ("Computer Sabotage"), and EU Directive 2013/40/EU on attacks against information systems.

4. INTELLECTUAL PROPERTY

Company Content on the Site—including text, software, graphics, photos, videos, music, trademarks, and logos ("Company Content")—is owned by or licensed to Jonida Ripani and protected by copyright, trademark, and other intellectual property laws.

This Agreement does not grant you any rights or licenses to Company Content beyond what is expressly permitted herein.

By using the Site, you release us from liability arising from your use of third-party websites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

6. DISCLAIMER OF REPRESENTATIONS AND WARRANTIES

Your use of the Site and Services is at your own risk. The Site and Services are provided "as is," "as available," and "with all faults." No advice or information from us creates any warranty not expressly stated herein. This disclaimer does not affect statutory consumer rights under Italian or EU law and survives termination of this Agreement or your use of the Site or Services.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company, its officers, directors, employees, agents, and third-party service providers shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from:

Your use of the Site or Services;
Errors or interruptions in the Site or linked sites;
Third-party conduct, viruses, or harmful content;
Personal injury, property damage, or loss of any kind related to the Site or Services.

Any claim arising from this Agreement must be filed within one (1) year of the event giving rise to it, or it will be permanently barred, unless otherwise required by applicable consumer protection laws (e.g., EU two-year warranty rights). This limitation survives termination of this Agreement.

8. INDEMNITY

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from any claims, costs, losses, or damages (including reasonable attorneys’ fees) arising from:

Your use of the Site or Services;
Your violation of this Agreement or incorporated policies;
Your infringement of any third-party rights, including intellectual property rights.

This indemnification obligation survives termination of this Agreement.

9. DATA TRANSFER

Visiting the Site from outside Italy may involve the transfer of your information across international borders. By using the Site and communicating with us, you consent to such transfers as outlined in our Privacy Policy.

10. AVAILABILITY OF WEBSITE

We strive to keep the Site available on a 24/7 basis, subject to periodic maintenance, repairs, or unforeseen interruptions beyond our control (e.g., telecommunication failures). We are not liable for any downtime or inaccessibility of the Site.

11. DISCONTINUED SERVICES

We reserve the right to discontinue any Service at any time, with or without notice. If a Service is discontinued, we may offer a comparable alternative or a refund, at our discretion. We are not liable for any damages resulting from such discontinuation.

12. FEES AND PAYMENTS

Payments for Services are processed by Jonida Ripani. You agree to pay all applicable fees at the time of purchase. We may modify prices at any time, with changes posted on the Site and effective immediately. Unless required by law or stated in our Shipping & Returns Policy, all payments are non-refundable, non-cancellable, and non-creditable.

13. NO THIRD-PARTY BENEFICIARIES

This Agreement does not confer any rights or benefits to third parties.

14. COMPLIANCE WITH LOCAL LAWS

We do not guarantee that the Site or its content is appropriate or lawful in every jurisdiction. If you access the Site from a location where its content is illegal, you do so at your own risk and are responsible for complying with local laws.

15. GOVERNING LAW

This Agreement is governed by Italian law, without regard to conflict of law principles. This does not affect your statutory rights under applicable local laws, such as EU consumer protections.

16. DISPUTE RESOLUTION

Any dispute arising from this Agreement will be resolved through binding arbitration in Cagliari, Italy, conducted on an individual basis, unless local consumer laws (e.g., EU regulations) allow you to pursue claims in your jurisdiction’s courts. Arbitration judgments may be enforced in any court with jurisdiction.

17. TITLES AND HEADINGS

Titles and headings are for convenience only and do not affect the interpretation of this Agreement.

18. SEVERABILITY

If any provision of this Agreement is found to be illegal or unenforceable, the remaining provisions will remain valid and enforceable to the fullest extent permitted by law.
